These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "User", or "Subscriber") and VCP Stocks ("we", "us", or "our"), governing your access to and use of the website located at https://www.vcpstocks.com and any related applications, content, tools, charts, newsletters, communications, and subscription services (collectively, the "Service").

BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ANY ADDITIONAL POLICIES REFERENCED HEREIN. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Educational Purpose — Not Investment Advice

1.1 Educational Service Only. The Service is provided strictly for educational and informational purposes. Its sole purpose is to help users learn how to identify and study the Volatility Contraction Pattern ("VCP") — a chart pattern popularized by educators such as Mark Minervini — and other technical-analysis price-action concepts. Any stock symbols, charts, screenshots, watchlists, scans, annotations, commentary, videos, or written materials made available through the Service ("Content") are illustrative examples used to demonstrate pattern-recognition concepts.

1.2 No Investment, Financial, Tax, or Legal Advice. Nothing on the Service constitutes, and nothing should be construed as, investment advice, financial advice, trading advice, a recommendation to buy, sell, hold, or transact in any security, derivative, cryptocurrency, or other financial instrument, nor any tax, legal, accounting, or other professional advice. The Content does not take into account your personal financial situation, investment objectives, risk tolerance, or specific needs.

1.3 Not a Registered Advisor or Broker. VCP Stocks is not a licensed or registered investment adviser, broker-dealer, financial planner, securities firm, fund manager, or any other regulated financial entity in any jurisdiction. We do not manage client funds, execute trades, or provide personalized investment recommendations. No information provided through the Service should be interpreted as a solicitation, offer, or recommendation to engage in any transaction.

1.4 You Must Conduct Your Own Research. You are solely responsible for any decisions you make. Before making any investment or trading decision, you should (a) conduct your own independent research and due diligence, and (b) consult a duly licensed financial adviser, broker, attorney, and/or tax professional in your jurisdiction.

2. No Guarantee of Profit — Risk Disclosure

2.1 Trading Involves Substantial Risk. Trading and investing in stocks, ETFs, options, and other financial instruments involves a high degree of risk, including the risk of total loss of principal. Past performance, historical chart patterns, backtests, and example trades shown through the Service are not indicative of future results.

2.2 No Guarantee of Returns. VCP Stocks makes no representation, warranty, or guarantee — express or implied — that any User will achieve profits, avoid losses, outperform any benchmark, or replicate any result depicted in the Content. Any references to gains, returns, win rates, success stories, testimonials, or example trades are illustrative only and are not promises, projections, or guarantees of future performance.

2.3 Hypothetical and Pattern-Based Limitations. The VCP and other technical patterns featured on the Service are pattern-recognition heuristics. They do not predict price movements with certainty, may fail in any given instance, and are inherently subjective. Different observers may identify the same pattern differently, and pattern identification by the Service or its tools may be incorrect, delayed, or inconsistent with other sources.

2.4 Market Data. Quotes, charts, and technical data displayed through the Service may be delayed, incomplete, inaccurate, or sourced from third parties. You should not rely on the Service as a primary or sole source of market data for any trading decision.

2.5 Acknowledgement of Risk. By using the Service, you expressly acknowledge and accept that you may lose some or all of any capital you put at risk, and you assume full responsibility for any and all financial outcomes resulting from your decisions.

3. Eligibility

You may use the Service only if you (a) are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction, whichever is greater); (b) have the legal capacity to enter into a binding contract; (c) are not barred from using the Service under the laws of any applicable jurisdiction; and (d) reside in a jurisdiction where access to and use of the Service is lawful. If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

4. Accounts and Security

4.1 You must provide accurate, current, and complete information when registering, and keep that information up to date.

4.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@vcpstocks.com of any unauthorized use.

4.3 You may not share, transfer, sublicense, or resell your account or access to the Service. We may suspend or terminate accounts believed to be shared or used in breach of these Terms.

5. Subscriptions, Billing, and Cancellation

5.1 Plans. The Service is offered on subscription tiers (the "Plans") described on the Service. Plan features, prices, and billing intervals are as displayed at the time of purchase.

5.2 Payment Processors. Payments are processed by third-party providers (currently Stripe and PayPal). Your use of these providers is also subject to their terms and privacy policies. We do not store full payment-card data.

5.3 Recurring Billing. Unless your Plan is on a credit-redemption or one-time-purchase basis, your subscription will automatically renew at the end of each billing cycle at the then-current rate, and you authorize us (and our payment processors) to charge your payment method accordingly until you cancel.

5.4 Cancellation. You may cancel at any time through your account portal. Cancellation takes effect at the end of the then-current billing period; you retain access until that date.

5.5 Refunds. Except where required by applicable law, all fees are non-refundable, including for partially used periods, unused features, or accounts terminated for breach. Any discretionary refunds or credits do not entitle you to future refunds in similar circumstances.

5.6 Free Trials and Promotions. Free trials and promotional offers are subject to the specific terms presented at the time of the offer and may be modified or revoked at our discretion. If a trial converts to a paid subscription, you authorize us to charge the applicable fee at conversion.

5.7 Pricing and Tiered Fees. We may offer different prices in different jurisdictions, including reduced regional pricing. We reserve the right to change prices at any time on prospective notice to existing subscribers.

5.8 Taxes. Stated prices may exclude applicable taxes, duties, and levies, which are your responsibility unless we are required by law to collect them.

6. Intellectual Property

6.1 Our Content. All Content on the Service — including text, charts, scans, code, graphics, logos, video, audio, written materials, the underlying software, and the compilation thereof — is owned by or licensed to VCP Stocks and is protected by copyright, trademark, and other intellectual-property laws.

6.2 Limited License. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial educational use.

6.3 Restrictions. You may not (a) copy, reproduce, redistribute, republish, or publicly display any Content; (b) sell, sublicense, lease, or otherwise commercialize the Service or Content; (c) scrape, crawl, mirror, or use automated means to extract data; (d) reverse engineer, decompile, or attempt to derive source code; (e) remove proprietary notices; or (f) use the Service or Content to train, develop, or evaluate any machine-learning model.

7. Acceptable Use

You agree not to: (a) use the Service to violate any law or regulation, including securities or anti–money-laundering laws; (b) impersonate any person or misrepresent your affiliation; (c) interfere with, disrupt, or compromise the integrity or security of the Service; (d) attempt unauthorized access to any account, system, or data; (e) upload viruses, malicious code, or harmful content; (f) harass, threaten, or defame any person; (g) use the Service to provide investment advice, trade signals, or financial services to third parties; or (h) use the Service in any way not expressly permitted by these Terms.

8. User Submissions and Communications

If you submit comments, questions, suggestions, watchlists, or other materials to us or in any community feature, you grant VCP Stocks a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and display such submissions for purposes of operating and improving the Service. You represent that any submission is yours to share and does not infringe any third-party rights.

9. Third-Party Services and Links

The Service may integrate with or link to third-party services, including payment processors, brokerages, data feeds, AI/chat providers, social platforms, and Google account sign-in. We do not control and are not responsible for any third-party service, content, or practice. Your use of any third-party service is subject to its own terms.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCP STOCKS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE MAKE NO WARRANTY THAT THE CONTENT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, OR SUITABLE FOR ANY PURPOSE, OR THAT ANY METHODOLOGY, PATTERN, SCAN, OR INDICATOR DESCRIBED OR DETECTED THROUGH THE SERVICE WILL PRODUCE ANY PARTICULAR RESULT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VCP STOCKS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR (b) ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR TRADING LOSSES — IN EACH CASE WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT OF FEES YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) USD $100.

WITHOUT LIMITING THE FOREGOING, VCP STOCKS SHALL HAVE NO LIABILITY FOR ANY TRADING OR INVESTMENT LOSSES YOU MAY INCUR, INCLUDING ANY LOSSES RESULTING FROM YOUR USE OF, OR RELIANCE ON, ANY CONTENT, CHART, PATTERN IDENTIFICATION, COMMENTARY, OR OTHER MATERIAL MADE AVAILABLE THROUGH THE SERVICE.

The limitations in this Section apply to the fullest extent permitted by law, even if any limited remedy fails of its essential purpose.

12. Indemnification

You agree to defend, indemnify, and hold harmless VCP Stocks and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any trading, investment, or financial decision you make in connection with the Service.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, including for suspected breach of these Terms, suspected fraud, regulatory or legal reasons, or non-payment. You may terminate by canceling your subscription and discontinuing use. Upon termination, Sections 1, 2, 6, 8, 10, 11, 12, and any other provisions that by their nature should survive will continue to apply.

14. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. Your continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service. You are encouraged to review this page periodically.

15. General

15.1 Entire Agreement. These Terms, together with our Privacy Policy and any policies referenced herein, constitute the entire agreement between you and VCP Stocks regarding the Service.

15.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.

15.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

15.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

15.6 Notices. Notices to you may be given by email or via the Service. Notices to us must be sent to info@vcpstocks.com.

15.7 Headings. Section headings are for convenience only and do not affect interpretation.
